Standard Conditions of Contract

Associated Drain Services Limited of 8 Metro Centre, St John’s Road, ISLEWORTH, Middlesex, TW7 6NJ (hereinafter called the “Company”) undertakes to carry out work and/or provide services for an approved customer, (hereinafter called the “Employer”) subject to the following Conditions:-

1. ACCEPTANCE
Acceptance of our Rates, Estimate or Quotation by the employer shall be deemed to be acceptance of these Conditions.

2. ALTERATIONS
No variation, qualification, waiver or cancellation of these Conditions shall be valid unless confirmed in writing by the Employer and agreed in writing by the Company.

3. PRICES
All rates and prices are based on:-

a) Costs ruling at the date of our Estimate/ Quotation. (The Company reserves the right to review any prices if not accepted within 30 days and at any time to amend accidental errors and omissions).
b) Free access to the premises during the course of the works.
c) The provision by the Employer of all necessary facilities.

4. PERFORMANCE
Without prejudice to other clauses in these Conditions the Company hereby undertakes to:-

a) Provide plant, labour and materials necessary for the proper execution of the work.
b) Cause as little disturbance as possible to the business being carried out at the site, so far as is reasonably compatible with continuity in executing the work.
c) Clear all the Company’s plant and materials from the site on completion and generally leave the site in as clean and tidy condition as at the commencement of the work.
d) Whilst every care will be taken when handling glass or fragile objects, the Company is unable to accept responsibility for accidental damage which may occur during the execution of the works, unless agreed separately in writing.

5. TIME FOR PERFORMANCE
Time shall not be of the essence of any Contract arising from the work unless agreed separately in writing by the Company.

6.  PERFORMANCE PREVENTED OR HINDERED
The Company shall be entitled, by written notice to the Employer, to terminate any Contract arising from our Rates/Estimate/Quotation should the performance of the Work be prevented or hindered by any cause or event beyond the Company’s reasonable control or knowledge. The Company shall be paid by the Employer for all work carried out prior to, and for all costs and charges arising from, such determination.

7. TITLE
Title in the goods and/or materials included in our Rates/Estimate/Quotation shall not pass to the Employer until full payment has been received by the Company; but the Employer shall be responsible for safe custody and insurance from the date of delivery.

8.INDEMNITY
Unless otherwise agreed, the Company shall indemnify the Employer in respect of any claims arising from damage, loss or injury, real or personal, during the execution of any Contract arising from our Rates/Estimates/Quotations. The extent of such indemnity and further information may be obtained from the Company Secretary.

9. PAYMENT
Unless otherwise stated, payment shall be strictly net and made within 30 days of the date of invoice.

10. VALUE ADDED TAX
VAT is not included in this Quotation and will be charged extra at the rate(s) applicable at the time.

11. CONFLICTING CONDITIONS
In the event of discrepancy between these Conditions and any Conditions set out or deemed to be applicable by the Employer then these Conditions shall prevail unless expressly agreed in writing by the Company.
